Welcome to GLP-1 LifeStyle Hub! The terms “we”, “us” and “our” refer to GLP-1 LifeStyle Hub. Nutopia Orchards S.R.L operates this store and website, including its information, content, features, tools, products and services, to provide you, the customer, with a shopping experience (the “Services”). GLP-1 LifeStyle Hub is powered by Shopify, which enables us to provide the Services.

These terms and conditions, together with the policies referenced in them (“Terms of Service” or “Terms”), describe your rights and responsibilities when using the Services.

We have worked to present our products and services accurately in our online stores. However, colours and appearance may vary with the device you use and its settings and configuration.

We cannot guarantee that the appearance or quality of products or services you purchase will meet your expectations or be identical to descriptions or displays in our online stores.

All product descriptions may change at any time without notice at our discretion. We reserve the right to discontinue products at any time and limit quantities offered to any person, geographical region or jurisdiction.

SECTION 3 — ORDERS

By placing an order, you make an offer to purchase. Nutopia Orchards reserves the right to accept or reject an order at its discretion for any reason. Your order is not confirmed until Nutopia Orchards confirms acceptance. We must receive and process payment before accepting an order. Review your order carefully before submitting it, as cancellation requests may not be possible after acceptance. If we reject, change or cancel an order, we will notify you using the email, billing address and/or telephone number supplied with the order.

Purchases are eligible for returns or exchanges only in accordance with our Refund Policy.

You represent and warrant that purchases are for personal or household use and not for resale or export.

SECTION 4 — PRICES AND BILLING

Prices, discounts and offers may change without notice. The price charged is the price in effect when your order is submitted, as shown in your order confirmation email. Unless otherwise stated, published prices exclude taxes and customs, shipping, handling and import charges.

Our online prices may differ from prices in physical or online shops or other third-party stores. Promotions may have separate terms; where those conflict with these Terms, the promotion's terms prevail.

You agree to provide accurate, current and complete purchase, payment and account information for all purchases. You agree to update your account and other information promptly, including your email address and credit card numbers and expiry dates, so we can complete transactions and contact you when necessary.

You represent and warrant that (i) your credit card information is true, accurate and complete; (ii) you are authorised to use that card for purchases; (iii) your card company will honour the charges; and (iv) you will pay charges at the published prices, including shipping, handling and applicable taxes.

SECTION 5 — SHIPPING AND DELIVERY

We are not responsible for shipping or delivery delays. Delivery times are estimates and are not guaranteed. We are not responsible for delays attributable to carriers, customs procedures or events beyond our control. Once products are transferred to the carrier, title and risk of loss pass to you.

SECTION 6 — INTELLECTUAL PROPERTY

Our Services, including trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and their design, selection and arrangement, are owned by Nutopia Orchards S.R.L, its affiliates or licensors and protected by US and foreign patent, copyright and intellectual property laws.

You must not reproduce, distribute, modify, create copies of, publicly display or perform, republish, download, store or transmit materials from the Services without our written consent. Except as expressly stated, these Terms grant no licence or other rights in patents, trademarks, copyright or other intellectual property belonging to Nutopia Orchards S.R.L, Shopify or third parties. Unauthorised use may violate federal and state intellectual property laws. All rights not expressly granted are reserved by Nutopia Orchards S.R.L.

Nutopia Orchards' names, logos, product and service names, designs and slogans are trademarks of Nutopia Orchards or its affiliates or licensors and must not be used without written permission. Shopify's name, logo, product and service names, designs and slogans are Shopify trademarks. All other names, logos, product and service names, designs and slogans belong to their respective owners.

SECTION 7 — OPTIONAL TOOLS

The Services may provide access to third-party customer tools that we do not monitor, control or contribute to.

You acknowledge and agree that access is provided “as is” and “as available”, without warranties, representations or conditions of any kind and without endorsement. We have no liability arising from or relating to your use of optional third-party tools.

Use is at your own risk and discretion. You should understand and accept the terms under which the relevant third-party providers offer those tools.

New features, tools and resources offered in future form part of the Services and are subject to these Terms.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

GLP-1 LifeStyle Hub is powered by Shopify, which enables us to provide the Services. However, sales and purchases in our Store are directly with Nutopia Orchards S.R.L. By using the Services, you acknowledge that Shopify is not responsible for any aspect of sales between you and Nutopia Orchards S.R.L, including injury, damage or loss resulting from purchases of products or services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or relating to your purchases and transactions with Nutopia Orchards S.R.L.

Personal information collected through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge reading these policies.

Your Feedback must not violate third-party rights, including copyright, trademark, privacy, personality or other personal or proprietary rights. It must not contain defamatory, unlawful, abusive or obscene material, viruses or malware that could affect the Services or related websites. You must not use a false email address, impersonate someone else or mislead us or others about its origin. You alone are responsible for your Feedback and its accuracy. You also agree not to: (a) upload or transmit viruses or malicious code that could affect operation; (b) reproduce, duplicate, copy, sell, resell or disseminate any portion of the Services; (c) collect or track others' personal information; (d) spam, phish, pharm, pretext, spider, crawl or scrape; or (e) interfere with or circumvent security features of the Services, related websites, other websites or the internet. We may suspend, disable or terminate your account without notice if we believe you have breached these Terms.

We may terminate this agreement or your access to all or part of the Services at any time, at our discretion and without notice. You remain liable for amounts due up to termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy and any provision that by its nature survives termination.

SOME JURISDICTIONS LIMIT OR PROHIBIT DISCLAIMERS OF IMPLIED OR OTHER WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTOPIA ORCHARDS S.R.L, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, AND SHOPIFY AND ITS AFFILIATES, ARE NOT LIABLE FOR INJURY, LOSS, CLAIMS OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, REVENUE, EARNINGS, DATA, REPLACEMENT COSTS OR SIMILAR DAMAGES, WHETHER ARISING IN CONTRACT, STRICT LIABILITY, TORT (INCLUDING NEGLIGENCE), OR FROM YOUR USE OF THE SERVICES OR PRODUCTS OBTAINED THROUGH THEM; NOR FOR OTHER CLAIMS RELATED TO THAT USE, INCLUDING ERRORS OR OMISSIONS IN CONTENT OR LOSS OR DAMAGE RESULTING FROM USE OF THE SERVICES OR CONTENT OR PRODUCTS POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THEM, EVEN IF ADVISED OF THE POSSIBILITY.

You agree to indemnify, defend and hold harmless Nutopia Orchards S.R.L, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims, including reasonable legal fees payable to third parties, resulting from: (1) your breach of these Terms or referenced documents; (2) your violation of laws or third-party rights; or (3) your access to and use of the Services.

We will notify you of indemnifiable claims; delayed notice does not release your obligations unless you are materially prejudiced. We may control defence and settlement at your expense, including choice of counsel, but will not settle claims requiring non-monetary obligations from you without your consent, which must not be unreasonably withheld. You will cooperate in defending claims, including providing relevant documents.

If a provision is found unlawful, void or unenforceable, it will not apply, and severance of the unenforceable part from these Terms will be considered. This determination does not affect the validity or enforceability of the remaining provisions.

Shopify's failure to exercise or enforce any right or provision of these Terms does not constitute a waiver.

These Terms and any policies or operating rules we publish on this site or concerning the Services constitute the entire agreement and understanding between you and us. They govern your use and supersede previous or contemporaneous oral or written agreements, communications and proposals, including earlier versions of these Terms.

Ambiguities in interpretation must not be construed against the drafting party.

You must not delegate, transfer or assign this agreement or your rights or obligations without our written consent; attempted assignments are void. We may transfer, assign or delegate these Terms and our rights and obligations without notice or your consent.

SECTION 21 — GOVERNING LAW

These Terms and any separate agreements under which we provide Services are to be governed and interpreted by the federal, state or territorial courts in the jurisdiction where Nutopia Orchards S.R.L is headquartered. You and Nutopia Orchards S.R.L consent to venue and personal jurisdiction in those courts.
